AmpedCX
Terms of Use

Effective Date: September 3, 2026

Last Updated: September 3, 2026

These Terms of Use ("Terms") govern your access to and use of the AmpedCX LLC website, including www.ampedcx.com, and any content, features, forms, or other resources made available through it (collectively, the "Website"). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. About AmpedCX

The Website is owned and operated by AmpedCX LLC ("AmpedCX," "we," "our," or "us"), a Delaware limited liability company. The Website provides information about AmpedCX, its insights, capabilities, products, and professional services.

2. Eligibility and Business Use

The Website is intended for adults and business or professional audiences. You must be at least 18 years old and legally capable of agreeing to these Terms. If you use the Website on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.

3. Informational Content; No Engagement Created

Website content is provided for general informational purposes. It is not legal, accounting, tax, investment, or other regulated professional advice. Your use of the Website, submission of an inquiry, scheduling of a meeting, or receipt of information does not create a consulting, agency, fiduciary, employment, partnership, or other professional relationship with AmpedCX.

A consulting or professional-services engagement begins only when AmpedCX and the client enter into a written agreement signed or otherwise accepted by authorized representatives. If a master services agreement, professional services agreement, statement of work, proposal, order, or other written agreement conflicts with these Terms concerning paid services, the written service agreement controls for that engagement.

4. Website Use

You may use the Website only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Website in a way that violates applicable law or the rights of another person.

  • Attempt to gain unauthorized access to the Website, accounts, systems, networks, or data.

  • Introduce malware, harmful code, automated attacks, or excessive traffic.

  • Scrape, harvest, crawl, or use automated tools to extract Website content or data without our written permission, except as permitted by applicable law.

  • Impersonate another person or misrepresent your identity, affiliation, authority, or purpose.

  • Interfere with the Website's operation, security, access controls, or other users.

  • Use Website content to create a misleading impression of sponsorship, affiliation, or endorsement by AmpedCX.

5. Intellectual Property

The Website and its content, including text, graphics, photographs, videos, designs, downloads, frameworks, tools, trademarks, service marks, logos, and other materials, are owned by or licensed to AmpedCX and are protected by intellectual-property laws.

Subject to these Terms, AmpedCX grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Website for your own lawful internal business or informational purposes. You may not copy, reproduce, modify, distribute, publish, sell, license, create derivative works from, publicly display, or commercially exploit Website content without our prior written permission, except for brief quotations with appropriate attribution or uses permitted by law.

AmpedCX, Get Amped!, AmpedRFP, associated logos, and related names and branding are trademarks or service marks of AmpedCX LLC. No license to use them is granted except as expressly stated in writing.

6. Materials and Communications You Submit

You retain ownership of information and materials you submit through the Website. You grant AmpedCX a nonexclusive license to use, reproduce, and share submitted materials only as reasonably necessary to respond to you, evaluate a potential engagement, provide requested functionality, protect our rights and systems, or comply with law.

Do not submit confidential, proprietary, privileged, export-controlled, or sensitive personal information through general Website forms unless we have specifically requested it through an appropriate channel. Submitting information through the Website does not, by itself, create a confidentiality obligation beyond those imposed by applicable law or a separate written agreement.

7. Third-Party Services and Links

The Website may use or link to services operated by third parties, including hosting, scheduling, payment, analytics, social media, and communication providers. Third-party services are governed by their own terms and privacy practices. AmpedCX does not control and is not responsible for third-party websites, services, availability, security, content, or practices. A link does not imply endorsement.

8. Privacy and Cookies

Our collection and handling of personal information are described in the AmpedCX Privacy Policy. The Website may use cookies and similar technologies subject to the choices available through our consent-management tools. The Privacy Policy is incorporated into these Terms by reference.

9. Purchases and Paid Services

Any purchase offered directly through the Website will be subject to the price, scope, payment terms, cancellation or refund terms, and other conditions shown at checkout or in the applicable written agreement. Fees for consulting and professional services are governed by the applicable proposal, statement of work, invoice, or services agreement. Unless expressly stated otherwise in writing, payments for work already performed, time reserved, or deliverables already provided are nonrefundable.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." AMPEDCX DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

AmpedCX does not guarantee that Website content is complete, current, or suitable for your particular circumstances, or that use of the Website or any described strategy will produce a particular business, marketing, sales, revenue, or competitive outcome.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMPEDCX AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF AMPEDCX ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID AMPEDCX SPECIFICALLY FOR THE WEBSITE FEATURE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US $100). These limitations do not apply to liability that cannot legally be limited or excluded.

12. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless AmpedCX and its owners, officers, employees, contractors, and affiliates from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising from your unlawful use of the Website, your violation of these Terms, your submitted materials, or your infringement of another person's rights. AmpedCX may control the defense of any matter subject to indemnification, and you agree to cooperate reasonably.

13. Suspension and Termination

We may restrict, suspend, or terminate access to the Website when reasonably necessary to protect the Website, AmpedCX, other users, or third parties; address suspected fraud, misuse, or security concerns; comply with law; or enforce these Terms. Provisions that by their nature should survive termination will survive, including intellectual-property, disclaimer, liability, indemnification, dispute, and governing-law provisions.

14. Changes to the Website or Terms

We may change, suspend, or discontinue any part of the Website. We may update these Terms by posting the revised version and changing the Last Updated date. Material changes will apply prospectively, and we may provide additional notice where required by law. Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Before filing a legal claim, you and AmpedCX agree to make a good-faith effort for at least 30 days to resolve the dispute informally after written notice. Subject to any rights that cannot legally be waived, courts located in Delaware will have exclusive jurisdiction over disputes arising from the Website or these Terms, and each party consents to personal jurisdiction and venue there.

16. General Terms

These Terms and the incorporated Privacy Policy constitute the entire agreement concerning use of the Website, except where another written agreement applies. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. AmpedCX may assign them in connection with a reorganization, merger, sale, or transfer of its business or assets. Headings are for convenience only.
